TERMS OF SERVICE AND SALES AGREEMENT
Effective Date: August 1, 2026
These Terms of Service and Sales Agreement (“Terms”) govern access to PCSalesOnline.com and all purchases made through the website.
PCSalesOnline.com (“PCSalesOnline,” “we,” “us,” or “our”) is owned and operated by:

PCSalesOnline is an independent online software retailer. We are not Microsoft and are not affiliated with, sponsored by, or endorsed by Microsoft unless expressly stated and supported by written authorization.
Microsoft, Windows, Office, Visio, Project, Outlook, Access, and other product names and trademarks are the property of their respective owners. References to third-party products are used only to identify the products offered for sale.
1. Acceptance of these Terms
By accessing PCSalesOnline.com, creating an account, placing an order, or selecting a checkbox indicating acceptance, you agree to these Terms and the following policies:
- Return, Refund and Activation Guarantee Policy;
- Privacy Policy; and
- Any product-specific terms displayed before purchase.
If you do not agree, do not place an order or use the website.
You must be at least 18 years old and legally capable of entering into a binding agreement to place an order.
If you purchase on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Seller identity
The seller of products offered through PCSalesOnline.com is Key Supplier LLC, operating under the PCSalesOnline brand.
The following names may be used together to clearly identify the business:

The legal entity responsible for processing the order, delivering the product, and providing support is Key Supplier LLC.
3. Digital products
Products offered through the website may include:
- Software product keys;
- Digital licenses;
- Download links;
- Installation files;
- Activation instructions; and
- Related digital content or support services.
The product page will identify the applicable:
- Software title and edition;
- Number of permitted devices or users;
- Supported operating system;
- License type, where applicable;
- Region or language restrictions;
- Activation method;
- Compatibility requirements; and
- Other material limitations.
Customers must review this information before ordering.
A product key does not transfer ownership of the software’s copyrights, trademarks, or intellectual property. It permits use of the applicable software only in accordance with the product description and the software publisher’s end-user license agreement or other applicable license terms.
4. Third-party license terms
Software supplied through PCSalesOnline may be subject to terms imposed by its publisher, manufacturer, platform provider, or account provider.
By installing, activating, downloading, redeeming, or using third-party software, you may also be required to accept the third party’s:
- End-user license agreement;
- Privacy policy;
- Account terms;
- Device limitations; and
- Acceptable-use rules.
You are responsible for using the product in accordance with those terms.
If a product-specific term materially conflicts with these general Terms, the product-specific term controls only in relation to that product. Mandatory consumer rights always take priority.
5. Orders and contract formation
Submitting an order constitutes an offer to purchase the selected product.
An automated order confirmation only confirms that we received the order. It does not necessarily mean that the order has been accepted.
We may review an order for:
- Payment authorization;
- Product availability;
- Pricing accuracy;
- Fraud risk;
- Regional restrictions;
- Order duplication; and
- Compliance with these Terms.
An order is accepted when we deliver the digital product or explicitly confirm acceptance.
If we cannot accept or fulfill an order after payment has been authorized, we will cancel the order and refund the amount charged.
6. Product availability
All products are subject to availability.
We may:
- Discontinue a product;
- Limit the quantity sold;
- Temporarily delay delivery for verification;
- Refuse an order that cannot lawfully or reliably be fulfilled; or
- Cancel an order if the product is unavailable.
If a paid order cannot be supplied, the customer will receive a refund or another remedy required by applicable law.
7. Pricing, currency, and taxes
Prices are displayed in the currency shown on the website or during checkout.
The customer is responsible for reviewing the total price before submitting an order. The checkout page will display applicable taxes, charges, and discounts known to us before payment is completed.
Depending on the customer’s location, the payment provider or card issuer may apply:
- Currency-conversion fees;
- International transaction fees;
- Bank charges; or
- Other third-party charges.
These third-party charges are not controlled by PCSalesOnline.
If a clear pricing or technical error is discovered before delivery, we may:
- Contact the customer and offer the product at the correct price; or
- Cancel the order and issue a full refund.
We will not retroactively charge a higher price after delivery without the customer’s express agreement.
8. Payment
Orders must be paid in full using a payment method offered during checkout.
Payment processing may be performed by third-party providers such as Stripe, card networks, banks, or digital-wallet providers. Their separate terms and privacy practices may apply.
We do not store complete payment card numbers unless expressly stated and legally permitted.
Payment must be successfully authorized before delivery.
9. Fraud prevention and order verification
We may use automated and manual fraud-prevention measures to protect customers and the business.
An order may be delayed, rejected, or cancelled where there is reasonable evidence of:
- Unauthorized payment activity;
- A stolen payment method;
- False or inconsistent information;
- Abusive ordering patterns;
- Prohibited resale;
- Sanctions or legal restrictions; or
- Other suspicious conduct.
We may request information reasonably necessary to verify an order. Customers should never send complete card numbers, passwords, or unnecessary sensitive information.
We may disclose information when required by a valid legal process or lawful request from an authorized public authority.
10. Digital delivery
Digital products are delivered using one or more of the following methods:
- Email;
- A secure order-confirmation page;
- The customer’s account page;
- A download page; or
- Another electronic delivery method disclosed during checkout.
An account is not required where guest checkout is available.
Customers are responsible for:
- Providing a correct email address;
- Checking spam and junk folders;
- Maintaining access to their email account; and
- Contacting support if delivery is not received.
Most orders are delivered shortly after successful payment. Some orders may require additional verification and may take longer.
Statements such as “instant delivery” mean that delivery is normally automated and prompt. They do not guarantee delivery within a specific number of seconds or minutes in every case.
11. Installation and activation
Customers are responsible for confirming that their device meets the compatibility and system requirements stated on the product page.
Some products may require:
- Online activation;
- Telephone activation;
- A manufacturer account;
- Removal of conflicting software;
- Installation of a specified edition; or
- Completion of other activation steps.
Customers should follow the instructions supplied with the order.
We may provide reasonable assistance with download, installation, and activation. This assistance is provided by PCSalesOnline and is not official manufacturer support unless expressly stated.
12. 30-Day Activation Guarantee
Eligible digital software purchases are covered by our voluntary 30-Day Activation Guarantee.
If a product supplied by PCSalesOnline is invalid, materially different from the product ordered, or cannot be activated as described, the customer should contact us within 30 days of delivery.
We will make reasonable efforts to:
- Diagnose the issue;
- Provide corrected instructions;
- Provide a replacement product key or corrected product; or
- Issue a refund if we cannot resolve the issue or provide a working replacement.
Customers must provide a reasonable opportunity for us to investigate and resolve the issue.
This voluntary guarantee is additional to mandatory consumer rights and does not shorten or replace those rights.
13. Returns, exchanges, cancellations, and refunds
Returns, exchanges, cancellations, and refunds are governed by our separate:
Digital Products Return, Refund and Activation Guarantee Policy
The policy forms part of these Terms.
In general:
- An unused digital product may qualify for an exchange under the conditions stated in the policy;
- Duplicate purchases may qualify for a refund;
- Invalid, incorrect, undelivered, or materially misdescribed products may qualify for support, replacement, or refund;
- A change of mind after digital delivery is generally not refundable unless required by applicable law;
- An activated, redeemed, registered, transferred, or otherwise used product is generally not refundable unless defective, misdescribed, or otherwise covered by mandatory consumer rights.
Nothing in these Terms excludes a remedy that must be provided under applicable consumer law.
14. Australian customers and consumer guarantees
For Australian customers, the 30-Day Activation Guarantee is provided by:

The guarantee applies for 30 days from digital delivery.
To make a claim, the customer must contact us and provide the order number, product information, a description of the problem, and reasonable evidence required to investigate the activation issue.
There is no fee for submitting a claim. Reasonable expenses associated with a valid claim will be handled as required by Australian Consumer Law.
Mandatory Australian Consumer Law statement
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:
- to cancel your service contract with us; and
- to a refund for the unused portion, or to compensation for its reduced value.
You are also entitled to choose a refund or replacement for major failures with goods.
If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion.
You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.
Australian consumer guarantees apply automatically and may continue beyond the duration of the voluntary 30-Day Activation Guarantee.
15. Canadian customers
For Canadian customers, these Terms apply subject to mandatory federal, provincial, and territorial consumer protection laws.
Nothing in these Terms excludes any mandatory right or remedy relating to:
- Defective products;
- Non-delivery;
- Material misrepresentation;
- Unauthorized transactions;
- Unfair business practices; or
- Other non-waivable consumer protections.
Consumer rights may vary by province or territory.
16. United States customers
For United States customers, these Terms apply subject to applicable federal and state consumer protection laws.
Nothing in these Terms excludes a right or remedy that cannot legally be waived.
17. Accounts and guest checkout
Customers may be permitted to purchase either through an account or as a guest.
If you create an account, you are responsible for:
- Providing accurate information;
- Protecting your password;
- Restricting access to your device and account;
- Notifying us of unauthorized access; and
- Keeping your contact information current.
You may not transfer an account, impersonate another person, or use another customer’s account without authorization.
We may suspend an account where reasonably necessary to investigate fraud, abuse, security incidents, or violations of these Terms.
18. Permitted use of the website
You may use the website only for lawful personal or business purchasing activities.
You may not:
- Attempt unauthorized access to the website or another customer’s account;
- Circumvent security or fraud-prevention measures;
- Introduce malware or harmful code;
- Scrape the website in a manner that disrupts its operation;
- Use automated tools to place abusive or fraudulent orders;
- Copy product keys or protected content without authorization;
- Resell products where resale is prohibited;
- Use the website to violate third-party rights;
- Submit false, deceptive, or unlawful information; or
- Interfere with the operation of the website.
19. Customer reviews and submitted content
Customers are free to publish honest reviews of PCSalesOnline, its products, services, and customer support.
Nothing in these Terms:
- Prohibits an honest review;
- Penalizes a customer for expressing an honest opinion;
- Requires a customer to transfer ownership of a review; or
- Requires a negative review to be removed or changed.
The United States Consumer Review Fairness Act prohibits standardized contract terms that restrict honest reviews, penalize reviewers, or require consumers to transfer intellectual-property rights in their reviews.
If you voluntarily submit a review or other content directly for publication on our website, you retain ownership of the content. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, format, and display that content for the purpose for which it was submitted.
Separate written consent or release terms may apply if we wish to use a photograph, video testimonial, or review in paid advertising or other promotional material.
We may remove content that:
- Contains private or confidential information;
- Is unlawful, defamatory, abusive, obscene, or threatening;
- Is unrelated to our products or services;
- Contains malware or spam;
- Infringes third-party rights; or
- Is demonstrably fake or misleading.
Positive and negative reviews will be subject to the same moderation standards.
20. Electronic communications
By placing an order, you consent to receive transactional communications relating to:
- Order confirmation;
- Payment status;
- Fraud verification;
- Digital delivery;
- Activation assistance;
- Refunds; and
- Important service or policy notices.
Marketing communications will be sent only with consent or as otherwise permitted by applicable law. Marketing messages will include an available method to unsubscribe.
Electronic contracts and records may have the same legal validity as paper records under applicable law.
21. Privacy and cookies

Our use of cookies and similar technologies is governed by the cookies section of our Privacy Policy and any applicable consent settings.
Using the website does not constitute unrestricted consent to all cookies. Where required, customers will be offered appropriate cookie choices.
22. Intellectual property
The PCSalesOnline website, including its original:
- Text;
- Layout;
- Graphics;
- Logos;
- Icons;
- Software;
- Databases; and
- Other content,
is owned by or licensed to Key Supplier LLC and is protected by applicable intellectual-property laws.
You may not reproduce, distribute, modify, publicly display, sell, or commercially exploit our original website content without prior written permission.
Third-party product names, logos, artwork, software, and trademarks remain the property of their respective owners.
23. Third-party websites and services
The website may contain links to third-party websites or rely on third-party services for:
- Payment processing;
- Software downloads;
- Account registration;
- Activation;
- Customer reviews;
- Analytics; or
- Other functions.
We do not control third-party websites and are not responsible for their independent content, terms, privacy practices, or availability.
This does not exclude responsibility that cannot legally be excluded.
24. Website availability
We aim to keep the website available and secure but cannot guarantee that it will always operate without interruption or error.
Maintenance, security incidents, service-provider outages, network failures, or other technical issues may temporarily affect availability.
We will make reasonable efforts to restore service and fulfill accepted orders.
25. Disclaimers
To the fullest extent permitted by law, and subject to all mandatory consumer rights:
- The website is provided on an “as available” basis;
- We do not guarantee that the website will be uninterrupted or completely error-free;
- We do not guarantee that every product will be compatible with a device or configuration not listed as supported;
- We are not responsible for problems caused solely by unsupported devices, customer-side malware, unauthorized modifications, or failure to follow accurate instructions.
These disclaimers do not apply where a product is defective, materially misdescribed, undelivered, or subject to a mandatory consumer guarantee.
26. Limitation of liability
Nothing in these Terms limits liability for:
- Fraud or fraudulent misrepresentation;
- Willful misconduct;
- Gross negligence where it cannot be limited;
- Death or personal injury caused by negligence where applicable;
- Mandatory consumer guarantees;
- A remedy required by Australian Consumer Law;
- Mandatory Canadian or United States consumer rights; or
- Other liability that cannot legally be excluded.
Subject to those exceptions, and to the fullest extent permitted by law:
- We are not liable for indirect or purely consequential commercial losses that were not reasonably foreseeable;
- We are not liable for losses caused solely by unauthorized or unlawful use of the product;
- Our aggregate liability relating to an order will generally not exceed the amount paid for that order.
For Australian consumers, this clause does not exclude compensation for reasonably foreseeable loss or damage available under Australian Consumer Law.
27. Force majeure
We are not responsible for delay caused by circumstances beyond our reasonable control, including:
- Widespread network failures;
- Natural disasters;
- Government action;
- War or civil disorder;
- Major infrastructure failures;
- Payment-network outages;
- Cyberattacks; or
- Failures of third-party platforms outside our control.
This clause does not remove the customer’s right to a refund or other remedy when we cannot supply a paid product or when a remedy is required by law.
28. Complaints and dispute resolution

Please include the order number and a clear description of the issue.
We will make reasonable efforts to investigate and resolve the complaint.
Nothing in these Terms prevents a customer from:
- Contacting a consumer-protection authority;
- Using a payment-provider dispute process;
- Exercising chargeback rights;
- Filing an eligible small-claims action; or
- Using another remedy available under applicable law.
29. Governing law
These Terms are generally governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-laws rules.
However, this choice of law does not deprive a consumer in Canada or Australia of mandatory protections available under the laws applicable to that consumer.
Any court proceedings may be brought in a court with lawful jurisdiction. Nothing in this section requires a consumer to give up a forum or remedy that cannot legally be waived.
30. Changes to these Terms
We may update these Terms to reflect changes to:
- Our products;
- Website functionality;
- Payment methods;
- Business practices;
- Legal requirements; or
- Security procedures.
Changes will be published with an updated effective date.
The Terms applicable to a purchase are normally those presented when the order was placed. Later changes will not reduce rights already attached to a completed order.
31. Assignment
Customers may not transfer their rights under an order where the applicable license terms prohibit transfer.
We may assign our rights and obligations as part of a merger, acquisition, restructuring, or transfer of the business, provided that mandatory consumer rights are not reduced.
32. Severability
If any provision of these Terms is found to be invalid or unenforceable, it will be interpreted or limited only to the minimum extent necessary.
The remaining provisions will continue in effect.
33. No waiver
Failure to enforce a provision on one occasion does not waive the right to enforce it later.
34. Entire agreement and order of precedence
These Terms, together with the policies and product-specific information presented before purchase, form the agreement between the customer and PCSalesOnline.
If documents conflict, the following order generally applies:
- Mandatory applicable law;
- The order confirmation and product-specific terms;
- The Return, Refund and Activation Guarantee Policy;
- These Terms;
- Other website policies.
Third-party software license terms separately govern the permitted use of the software.
